Legal & Commercial Terms

To ensure a clear transfer of ownership and responsibility, all acquisitions must be completed through the purchaser's nominated legal entity. Upon completion, ownership of the acquired intellectual property and associated assets transfers to that entity in accordance with the executed sale agreement.

As a condition of entering into formal acquisition discussions, the purchaser must agree to bear all costs associated with the transaction, including but not limited to:

  • The purchaser's legal fees.
  • The vendor's legal fees.
  • Accounting and taxation advice.
  • Due diligence costs.
  • Regulatory and compliance costs.
  • Intellectual property assignment and registration costs.
  • Any other professional or transaction-related expenses incurred by either party.

Where either the purchaser or the vendor reasonably requires travel to progress due diligence, negotiations or completion of the transaction, the purchaser agrees to bear all associated travel costs for both parties, including but not limited to:

  • Flights.
  • Accommodation.
  • Taxi and other local transport.
  • A reasonable daily per diem for meals and incidental expenses.

Before any substantive legal work, contract drafting or formal negotiations commence, the purchaser must pay an agreed advance to cover the anticipated legal and professional costs incurred on behalf of both parties. No legal documentation will be prepared, and no formal negotiation process will begin until these funds have been received and cleared. This requirement ensures that all parties enter negotiations with a genuine commitment to completing the transaction.

Unless otherwise agreed in writing, every acquisition is undertaken on the basis that the purchaser funds all legal and associated transaction costs for both parties in advance.
